Exhibit Rules
  1. Show Management: The words "Show Management" as used herein shall mean the American Solar Energy Society, Inc. "Exhibit Area" shall mean the Grand Ballroom of the Rosen Centre Hotel. In the enforcement and interpretation of the following rules and regulations, the decision of the Show Management is final.
  2. Eligibility of Exhibits: Show Management reserves the right to determine the eligibility of any company or product for inclusion in the conference and reserves the right to reject, effect, or prohibit any exhibit in whole or in part, or any Exhibitor, or his representatives, with or without giving cause.
  3. Contract for Space: The signed Exhibit Space Contract, the formal notice of space assignment by Show Management, and the full payment of rental charges, when accepted by Show Management, constitute a Contract for right to use the space.
  4. Cancellation of Exhibition : Should the exposition be canceled or abandoned, any claim for damages and/or compensation by the Exhibitor shall be limited to the return to the Exhibitor of the amount already paid to Show Management for rental of space for this specific event.
  5. Failure to Exhibit : If the Exhibitor, being entitled to possession through this Contract, shall fail to take possession of or to use the Exhibit Area, no rent refund shall be made, and the full rent called for by this Contract shall be payable by the Exhibitor to Show Management as liquidated damages, and not by way of penalty.
  6. Exhibitor Refunds : The Exhibit Deposit is non-refundable. If the Exhibitor delivers written notice of cancellation to Show Management prior to June 7, 2005 then Exhibit Booth Fees paid by Exhibitor in excess of the Exhibit Deposit will be refunded.
  7. Use of Space: No Exhibits will be permitted that interfere with the use of other exhibits or impede access to them or impede the free use of the aisle. No display may protrude into the aisle or be in excess of 3' high between display areas. No display shall exceed 12' in height without permission of Show Management. No booths may interfere with direct visibility of an adjoining display. All aisle space is under control of Show Management and must not be used in any way for exhibitor space.
  8. Restriction in Operation of Exhibits: Show Management reserves the right to restrict or evict exhibits which, because of noise, method of operation, materials, or any other reason, become objectionable and also to prohibit or evict any exhibit which in the opinion of Show Management may detract from the general character of the Exhibit as a whole. This reservation includes persons, things, conduct, printed matter, or anything of a character which Show Management determines is objectionable to the exhibit or that interferes with the activities of neighboring Exhibitors. In the event of such restriction or eviction, Show Management is not liable for any refunds or other exhibit expense.
  9. Fire Protection: No open flames are allowed. Any special effects, decorative displays, operating equipment, or any exhibits of questionable fire safety must first be approved by the Orlando , Florida Fire Department before being installed. Electrical wiring must conform to all local and state government requirements and the National Electrical Code. All installations are subject to approval by the Orlando, Florida Fire Department.
  10. Reassignment of Space: Show Management reserves the right to alter location of exhibits as shown on the official floor plan, if deemed advisable and in the best interest of the convention. Show Management further reserves the right to reassign or rent exhibit space not occupied at the opening of the exhibit or use said space for such purposes as it may see fit without any liability on its part.
  11. Exhibits: Exhibitors shall be permitted to set up their displays from 8:30am to 5:00pm on Sunday, August 7, 2005 . Exhibitors shall have their exhibits completed and in operating order by 5:30pm on Sunday, August 7, 2005 . Exhibitors may dismantle their displays from 2:00pm - 5:00pm on Wednesday, August 10, 2005 . Dismantling of any display prior to the closing of the show is prohibited. All storage and handling charges for failure to remove materials from the exhibit area at the close of the move-out period shall be the responsibility of the Exhibitor. Exhibitors must comply with all state and local taxes, rules, regulations and ordinances. Show Management shall have the sole control over admission policies. Neither Exhibitors nor their representatives or agents will be permitted in the Exhibit Area earlier than an hour before scheduled opening nor later than one hour after scheduled closing except during set-up and take-down, unless by special arrangement with Show Management.
  12. Damage Liability: The cost of repairing any damage by the Exhibitor's employees, representatives or agents will be billed to and paid by the Exhibitor. Exhibitors are liable for any damage caused to building floors, walls, or the booth equipment, or to the property of other Exhibitors. Exhibitors must not apply paint, lacquer, adhesive or any other coating to any part of the building, furnishings or booth equipment. Exhibitors must not hang items from the ceiling.
  13. Indemnification and Release Liability: Exhibitor, for itself and its members, employees, officers and agents, and all other persons having or claiming rights through or on behalf of them, hereby indemnify, hold harmless, and agree to defend, and hereby release, the American Solar Energy Society, Inc., including its members, employees, officers and agents (the "Show Sponsors") from and against any and all claims, losses, liabilities, damages, suits, and judgements, including costs, expenses and attorney fees, that a) arise from or relate to any loss, theft, damage or destruction of the Exhibitor's goods, products or personal property; or b) arise from or relate to this Contract, the show, or the Exhibitors' participation in the show when such claims result from causes beyond the control of or without the fault or negligence of the American Solar Energy Society, Inc., which may include, without limitation, claims arising from the failure to provide space for an exhibit, removal of an exhibit, personal injury, or death.
  14. Circularization and Solicitation: Distribution of circulars or promotional materials may be made only within the booth assigned to the Exhibitor presenting such material. No firm or organization not assigned space in the exhibition will be permitted to solicit business within the Exhibit Area.
  15. Insurance: Exhibitors are advised to carry floater insurance to cover exhibit material against damage and loss and public liability insurance against injury to the person and property of others.
  16. Security: Security during the show hours shall be the responsibility of the Exhibitor. Security will be provided during the time the Exhibit Area is closed to the public. Show Management assumes no liability for lost, stolen or damaged items.
  17. Equipment Provided as Part of Contract: Each 10x10 booth will be provided with an 8' high back drape, a 3' high draped divider, a 6 foot (or 8 foot) table with two side chairs and a 7" x 44" booth sign. Each tabletop display will be provided with a 6' draped table and a 7" x 44" sign.
  18. Additional Furnishings: Additional furnishings and carpeting can be arranged through Shephard Exposition Services at additional cost. Details will be sent to confirmed exhibitors.
  19. Drayage and electrical: The Exhibitor is responsible for arranging for any electrical, labor and drayage. Forms will be sent to confirmed exhibitors. The Rosen Centre Hotel will not accept or store any items shipped to them.
  20. Show Management promises full cooperation for a successful show and is committed to work with the Exhibitors toward this end.
  21. This Contract, the rights and obligations of the parties under it, and all issues relating to it shall be governed by the laws of the State of Colorado.

These rules and regulations are part of the contract between the Exhibitor and the American Solar Energy Society, Inc. All terms and conditions of this Contract shall be binding upon the parties hereto, their heirs or representatives and assign forever, and cannot be varied or waived by any oral representation of promise of any agent or other person of the parties hereto unless the same be in writing and mutually signed by the duly authorized agent or agents who executed the original Contract.
